MapsPeople A/S temporarily pauses share buy-back program
On 27 June 2025, MapsPeople A/S initiated a share buy-back program, as described in company announcements no. 12-2025 of 28 May 2025 and no. 13-2025 of 2 June 2025.
MapsPeople A/S has learned that a financial institution shareholder is utilising the standing purchase order in such a manner that the remaining ordinary retail minority shareholders’ participation option under the standing purchase order is substantially diluted.
MapsPeople A/S has decided to temporarily suspend the previously communicated share buy-back program to consider revised participation procedures.
The utilisation of the standing purchase order by the financial institution shareholder is contrary to the intention (as announced in company announcement no. 7-2025 of 28 April 2025) of the share buy-back program. The intention was to offer all other shareholders than MapsPeople DK Holding ApS, Bladt Invest ApS, Kapitalforeningen BankInvest Select, afdeling Small Cap Danske Aktier KL and Danmarks Eksport- og Investeringsfond of MapsPeople A/S the opportunity to sell their shares in MapsPeople A/S. Not to make a facility available almost discretionarily to one financial institution shareholder. The financial institution shareholder has failed to respond to MapsPeople A/S’ multiple attempts to engage in this regard.
As announced in company announcement no. 14-2025 of 13 June 2025, the last trading day of MapsPeople A/S’ shares on Nasdaq First North Growth Market is expected to be on 25 August 2025. Nasdaq Copenhagen A/S’ approval of MapsPeople A/S’ request to remove MapsPeople A/S’ shares from trading and listing on Nasdaq First North Premier Growth Market, as announced in company announcement no. 14-2025 of 13 June 2025, is not conditional upon the completion of the share buy-back program.
It remains possible to trade shares in MapsPeople A/S on Nasdaq First North Premier Growth Market up to and including the last day of trading of MapsPeople A/S' shares on Nasdaq First North Premier Growth Market on 25 August 2025.
